Terms of Service

1. Acceptance of Terms

By accessing or using the PathSeal compliance platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, please do not use the Service.

2. Description of Service

PathSeal provides a multi-framework EU compliance management platform, including tools for evidence management, cross-framework mapping, compliance tracking, and audit report generation for standards including NIS2, DORA, CSRD, ISO 42001, ISO 27001, and others.

3. Account Registration

You must create an account to access the Service. You agree to:

• Provide accurate, current, and complete information

• Maintain the security of your password and account credentials

• Promptly notify us of any unauthorised access to your account

• Accept responsibility for all activities conducted under your account

You may not share your account credentials with others or create accounts for automated access without our written consent.

4. Subscription and Payment

PathSeal offers paid subscription tiers. By subscribing, you agree to pay the applicable fees.

Billing: Subscriptions are billed monthly or annually in advance. Fees are non-refundable except as required by law.

Annual plans: Annual subscriptions are paid upfront for 10 months (2 months free). Cancellation of an annual plan does not entitle you to a pro-rata refund unless required by applicable law.

Price changes: We will provide 30 days' notice before any price changes take effect for existing subscribers.

Taxes: Prices are exclusive of VAT and other applicable taxes, which will be added at checkout where required.

5. Free Trial

We offer a 14-day free trial for new accounts. No credit card is required during the trial period. At the end of the trial, your account will revert to a limited free tier unless you subscribe to a paid plan.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations

• Upload content that infringes on third-party intellectual property rights

• Attempt to gain unauthorised access to the Service or related systems

• Transmit malware, viruses, or other harmful code

• Reverse-engineer, decompile, or disassemble the Service

• Use the Service to provide a competing compliance platform

• Overburden or disrupt the Service infrastructure

7. Your Data and Intellectual Property

Your data: You retain ownership of all compliance data, evidence, and documents you upload to PathSeal ("Customer Data"). By uploading, you grant PathSeal a limited licence to process that data solely to provide the Service.

Our IP: PathSeal retains all intellectual property rights in the platform, software, framework mappings, and documentation.

Feedback: Any feedback you provide may be used by PathSeal without restriction or compensation.

8. Data Processing

PathSeal processes personal data as a data processor on your behalf. Our processing activities are governed by our Privacy Policy and Data Processing Agreement (DPA), which is available upon request and is incorporated into these Terms by reference.

We maintain EU data residency for all customer data.

9. Confidentiality

Each party agrees to keep confidential the other party's non-public information disclosed in connection with the Service, using at least the same degree of care it uses for its own confidential information. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

10. Service Availability

PathSeal targets 99.9% monthly uptime for the Service, excluding scheduled maintenance. We will provide advance notice of planned maintenance where possible.

In the event of extended outages, we may provide service credits at our discretion. Service credits are the sole remedy for downtime.

11. Termination

By you: You may cancel your subscription at any time through your account settings. Access will continue until the end of your billing period.

By us: We may suspend or terminate your account for material breach of these Terms, non-payment, or if required by law. We will provide reasonable notice except in cases of serious violations.

Effect of termination: Upon termination, you have 30 days to export your data before it is deleted.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, PathSeal disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

PathSeal does not warrant that the Service will be error-free, uninterrupted, or that it will meet all applicable legal requirements in your jurisdiction. The Service is a tool to assist with compliance — it does not constitute legal advice.

13. Limitation of Liability

To the maximum extent permitted by law, PathSeal's total liability arising from or related to these Terms or the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.

In no event shall PathSeal be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, even if advised of the possibility of such damages.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

14. Indemnification

You agree to indemnify and hold PathSeal harmless from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your infringement of any third-party rights.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes with at least 30 days' notice via email. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the European Union and the jurisdiction in which PathSeal is incorporated, without regard to conflict of law provisions.

Any disputes shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration or the competent courts of the applicable jurisdiction.

17. General

Entire agreement: These Terms, together with our Privacy Policy and any DPA, constitute the entire agreement between you and PathSeal.

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

Waiver: Failure to enforce any right is not a waiver of that right.

Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger or acquisition.
